THIS AGREEMENT is made this 0 day of (X°-\DY)0\— 2015, in the

Territory of the United States Virgin Islands, by and between the Department of Public Works

(“VIDPW”) and the Virgin Islands Waste Management Authority (“VIWMA”).



Both parties witness to being duly authorized to execute this agreement and will attest

accordingly when and where necessary.



WITNESSETH:



WHEREAS, pursuant to Memorandum of Agreement GC064DPW12, approved by the

Governor on September 17, 2012 (which constitutes and is hereinafter referred to as “the

Agreement”), VIDPW contracted with VIWMA to upgrade the infrastructure and improve the

operating efficiency to the wastewater facilities in the Territory of the United States Virgin

Islands;



WHEREAS, the Agreement will expire pursuant to its terms on September 30, 2017;



WHEREAS, the parties desire to amend sections 2(a)(1) Scope of Work to delineate

amended costs for each project; and



WHEREAS, the parties desire to amend section 7 Notice to name the current

Commissioner Designees or Commissioners at the Department of Property and Procurement and

the Department of Public Works, and the Executive Director or Executive Director Designee at

the Virgin Islands Waste Management Authority.



NOW THEREFORE, for mutual and valuable consideration, the receipt and sufficiency’

of which is hereby acknowledged, the parties agree as follows:



TERMS AND CONDITIONS

I. Section 2(a)(1) is hereby amended to state the following:



The work hereunder shall consist of the following tasks (“Scope of Work”):

Project Description:



1. Krause Lagoon Interceptor (Phase 4), St. Croix $1,600,000.00

2. Southwest Interceptor, St. Croix $1,300,000.00

3. Airport Force Main Rehabilitation, St. Thomas $ 800,000.00

4. Brass View WWTP, St. Thomas $ 881,000.00

5. Cactus Hill Sewer Line, St. John $ 0.00
