DESIGNATION OF AGENT — POWER OF ATTORNEY

(Blue Sky Towers Ill, LLC — Kevin A. Rames, Esq.)



BE IT RESOLVED that the BLUE SKY TOWERS III, LLC (herein sometimes the “Company”)

does hereby make, constitute and appoint KEVIN A. RAMES, ESQ., having an address at 2111

Company Street, Suite 3, Christiansted, St. Croix, Virgin Islands, 00820 as its true and lawful

Agent and Attorney-in Fact, and in the name, place and stead of JAMES RECH, the Organizer

and Manager of the Company, to take all actions and to do all things as he, in his sole discretion, may

deem necessary, appropriate and advisable to oversee, promote and advance that certain Joint Division of

Coastal Zone Management (CZM), DPNR and Division of Comprehensive and Coastal Zone Planning

(CCZP), DPNR Application for the construction and operation of a monopole cellular telephone

communication tower to be located at Plot 3 Estate Long Point and Cotton Garden, St. Croix, U.S. Virgin

Islands.



Il. BLUE SKY TOWERS III, LLC grants to the herein appointed Agent and Attomey-in-Fact full

power and authority to perform all acts to be done regarding the premises as herein described

as the principals of the Company could do if personally present.



2 BLUE SKY TOWERS III, LLC hereby revokes all prior agencies made by it authorizing any

person to do any act relative to the above-described or any part thereof, hereby ratifying and

confirming whatsoever the herein appointed Agent may do in the premises by virtuehereof.



3. TDMJ, LLC. hereby indemnifies and holds the herein appointed Agent harmless from and

against any and all claims, demands, actions and causes of action, debts, liabilities and

obligations of any kind or nature whatsocver arising from, relating to or otherwise connected

with any acts that she may take in good faith as such Agent in the performance of any and

all of his duties and obligations hereunder for the undersigned.



4. All rights, powers and authority of the herein appointed Agent to exercise any and all of the

rights and powers herein granted shall remain in full force and effect until revoked by BLUE

SKY TOWERS III, LLC and provided further, that such revocation shall be of no effect in



respect to parties acting or things done in reliance hereof prior to the actual receipt by them

of written notice of saidrevocation.



IN WITNESS WHEREOF, a duly authorized officer of the Company has signed this
