MINUTES BOARD OF TRUSTEES SPECIAL MEETING  
                  September 28, 2022

A Special Meeting of the Board of Trustees was held on September 28, 2022. The meeting was 
called to order at 10:00am. The meeting was held via Zoom. At roll call, Trustees present were 
Callwood,  Dorsey, Liger, Russell, Smith, and Bowry. Trustee not present during the roll call was 
McDonald. Trustee A quorum was established with 6 trustees present.  
 
The only staff in attendance was Austin Nibbs, Administrator.  
 
Also, present in the meeting were Pedro K. Williams, Board Counsel,  Kelsha Williams, Associate 
in the Law Firm of Pedro K. Williams, and Desiree Hill, Stenographer. 
 
A motion was made by Trustee Callwood and seconded by Trustee Dorsey to go into Executive 
Session. The motion passed 6 yes (Callwood, Dorsey, Liger, Russell, Smith, and Bowry),  and 1 
absent (McDonald). 
 
Executive Session. 
The Administrator was asked to leave the meeting. 
 
Regular Session. 
The Administrator  was invited back to the meeting via Zoom. 
 
The Board Counsel reported out of Executive Session:  
“In the Executive Session, the Board discussed terms, conditions and provisions of a contract 
with the Administrator and those changes would be included in a draft contract to be submitted 
for consideration between the parties.” 
 
A motion was made by Trustee Dorsey and seconded by Trustee Callwood to adjourn  the 
meeting. The motion passed 6 yes (Callwood, Dorsey, Liger, Russell, Smith, and Bowry),  and 1 
absent (McDonald). 
 
The meeting adjourned at 10:51am.
