AMENDMENT No. 1 OF 
PROFESSIONAL SERVICES CONTRACT 
OPCMR 
THIS AMENDMENT made as of the __ day of _____ , 2023 in the Territory 
of the Virgin Islands, by and between the Government of the Virgin Islands DEPARTMENT OF 
PROPERTY AND PROCUREMENT, on behalf of the DEPARTMENT OF EDUCATION 
(hereinafter referred to as "Government") and Codemantra, U.S. LLC d/b/a Codemantra whose 
address is #72 Kronprindsens Gade Waterfront Center, Ste. A (hereinafter referred to as 
"Contractor"). 
Both parties witness to being duly authorized to execute this agreement and will attest 
accordingly when and where necessary. 
WITNESS ETH 
WHEREAS, pursuant to Contract No. Pl54DOET22 approved by the Commissioner of 
Property and Procurement on August 23, 2022, (which constitute and are hereinafter referred to 
as the "Contract"), the Government contracted with Contractor to adapt and edit K-6 HMH Social 
Studies©2015, and 9-12 HMH Civics©2018 programs to create a version that would align with 
the VIDE curriculum including territory specific content and history in print ready format; and 
convert the adapted K-6 HMH Social Studies©2015, and 9-12 HMH Civics©2018 programs into 
digital courseware that can be used by students and faculty on VIDE's Learning Management 
System (LMS); and 
WHEREAS, the Contract expires pursuant to its terms on August 22, 2023; and 
WHEREAS, the parties desire to amend the Contract, to extend its term by six (6) months, to 
allow for additional time to complete all deliverables aligned with the contract and satisfy all 
contractual requirements; and 
WHEREAS, the amendment of the Contract pursuant to this Amendment of Professional 
Services Contract shall result in changes to the scope of services, by extending the existing 
timeframe to align with the six (6) month time extension and shall not require an increase to the 
compensation originally provided for under the Contract. 
NOW THEREFORE, for mutual and valuable consideration, the receipt and sufficiency of 
which is hereby acknowledged, the parties hereto agree as follows:

TERMS AND CONDITIONS 
1. The Contract, is hereby amended and its tenn extended by six ( 6) months by deleting all
existing language contained in Paragraph 2 and replacing it with language as follows:
"The tenn of this Contract shall be from August 23, 2022 to February 22, 2024. Upon the
date of execution of this Contract by the Commissioner of Property and Procurement, this
Contract shall become effective for the Tenn set out herein."
2. Addendum I of the Contract is revised by deleting all tenns contained therein and
inserting in lieu thereof all of the tenns contained in the new First Amended Addendum I
(First Amended Scope of Services) attached hereto as Exhibit "A".
3. This Amendment is subject to the approval of the Commissioner of the Department of
Property and Procurement and to the appropriation and availability of funds.
4. Except as expressly amended in this Amendment, all tenns of the Contract remain in full
force and effect.
5. FACSIMILE, ELECTRONIC & DIGITAL SIGNATURES
A facsimile, electronic or digital signature on this Contract shall be deemed an original and
binding upon the Parties hereto.
