Action Taken by UVI Board of Trustees



Amendments to Bylaws



The Board of Trustees, at its meeting of Saturday, March 12, 2005, unanimously approved the following

amendments to the UV! Bylaws. It was reported that the Bylaws of the University of the Virgin Islands

were reviewed by the Committee on Trustees and the amendments formulated were forwarded for

consideration and action by the Board.



| Removal of provision in Article Il, Sections2(a) and (b)



Vil Amendment of Article II, Section 4(i) to read “approve’ rather than “establish”

requirements for academic degrees



IX Modification of Article III, Section 1(d) and Article Ill, Section 4(b) to provide that proxies

are not permitted.



XIV Substitution of “responsibilities” for “duties” in Article V, Section 2(b)



XV Inclusion in the duties of the Secretary/Treasurer of the duty to conduct an annual

comprehensive audit



XVII Amendment of Article V, Section 5 to clarify that “any officer” refers to the resignation

of any board officer rather than to staff executive officers.
