1 Virgin Islands Economic Development Commission Decision Meeting of Tuesday, November 18, 2025 Summary Report During the Virgin Islands Economic Development Commission (“VIEDC”) Decision Meeting on Tuesday, November 18, 2024, the Governing Board heard recommendations from the VIEDC Team regarding one (1) application matter and one (1) compliance matter, and voted as follows: Regular Session: ➢Action Items: • Applications: ❖Perfected Claims, LLC – Change in Ownership Structure/Admission of New Members Perfected Claims, LLC (“Perfected”) was granted Virgin Islands Economic Development Commission (“VIEDC”) tax incentive benefits to own and operate a Category IV – Designated Service Business providing business management and consulting, data management, claims processing and management, and public policy consulting and advocacy services to its clients. In addition, Perfected also engages in family office services pursuant to V.I. CODE ANN. tit. 29, § 708(a). Perfected will serve clients located outside the USVI with a focus on providing an evaluation center for law firms to assess potential victims of mass torts and to obtain the necessary records and other supporting material to support their claims. Perfected is located on St. Croix. On August 15, 2025, Perfected submitted a request to revise Appendix A1 of its Certificate to change the ownership structure. The Governing Board voted (6 – 0) to: 1. Require a First Amended Certificate of Tax Incentives to be executed reflecting the herein referenced changes to Appendix A1 effective December 1, 2023. 2 • Compliance: ❖Liberty Medical Development, LLC – Resolution of Non-Compliance Liberty Medical Development, LLC (“Liberty Medical”) was granted Virgin Islands Economic Development Commission (“VIEDC”) tax incentive benefits on January 13, 2017 to conduct the operation of a Category III healthcare facility providing medical tourism and services comprised of out-patient surgical procedures in Orthopedics, Ophthalmology, Ear/Nose/Throat (“ENT”), Pain Management, Urology, General Surgery, Podiatry, Gastroenterology, and Reconstructive/Facial Plastic and Cosmetic Surgery. Liberty Medical is located on the island of St. Croix. A review of Liberty Medical’s compliance file was conducted by VIEDC staff which indicated that Liberty Medical did not submit all required reports between the years 2019 through 2025 and failed to maintain compliance with the EDC Certificate. The Governing Board voted (6 – 0) to: 1. Find Liberty Medical Development LLC failed to submit payment for its 2025 Annual Compliance Five Thousand Dollars ($5,000) Fee by the January 31, 2025 deadline. 2. Find Liberty Medical Development, LLC failed to comply with the reporting requirements from 2019 through 2025 as indicated in the VIEDC itemized assessments through September 30, 2025. 3. Require Liberty Medical Development, LLC to submit all outstanding reporting requirements, to include proof of compliance with Certificate Standard and Special Conditions for the years 2019 through 2025 within 30 working days from November 18, 2025. 4. Assess Liberty Medical Development, LLC, the following penalties to be paid by December 18, 2025, for late filing and violations pursuant to 29 V.I.C §723-1: a. Five Thousand Dollars ($5,000.00) for the outstanding 2025 Annual Compliance Fee to be paid to the Industrial Promotion Fund; and b. Twenty-Seven Thousand Eight Hundred Sixteen Dollars and Two Cents ($27,816.02) for late filings of reporting requirements as of September 30, 2025, to be paid to the Industrial Promotion Fund directed to the Territorial Scholarship Fund for the years 2023 through 2025. 5. Require Liberty Medical Development, LLC to adhere to all other Standard and Special Conditions of its Certificate of Tax Incentive. 6. Require an Order to Show Cause why its benefits should not be revoked, suspended, or modified for non-compliance with the terms and conditions of its VIEDC Certificate to be issued pursuant to 29 V.I.C.§722 should Liberty Medical Development, LLC not comply with the recommendations No. 3 and No. 4 within the time period specified by the VIEDC Board.
