GOVERNMENT OF THE VIRGIN ISLANDS OF THE UNITED STATES Public Services Commission IN RE: Docket No. 701 (Originally filed in Docket 289) Order No. 11/2025 BMR DONOE SOLAR AND SPANISH TOWN SOLAR’S PROPOSAL FOR DIRECT SALE OF SOLAR ENERGY TO CURRENT WAPA CUSTOMERS ORDER ON SETTLEMENT AND CLOSING DOCKET WHEREAS, the Virgin Islands Water and Power Authority (hereinafter “WAPA” or “Authority”) entered into Power Purchase Agreements (hereinafter *PPA”) with BMR Energy Limited ( hereinafter “BMR Solar Companies or BMR Solar Projects”), allowing the Solar Companies to sell and WAPA to purchase the supply of energy generated by the following solar photovoltaic electric generating projects: BMR Donoe on or about December 24, 2019, and BMR Spanish Town, collectively BMR Solar Projects on or about June 4, 2012; and WHEREAS, the PPA from the BMR Solar Projects’ predecessors in interest had been approved by the Virgin Islands Public Services Commission (hereinafter “Commission” or “PSC”) in 2012 and 2015 (Dockets 606 and 643, respectively.); and WHEREAS, the PPA continued to be included in the Levelized Energy Adjustment Charge (hereinafter “LEAC”) rate structure, authorized by the Commission; and WHEREAS, on or about May 23, 2024, the BMR Solar Companies filed a Petition seeking authorization to conduct retail sales of electricity due to non-payment by the Water and Power Authority; and WHEREAS, the Commission set a schedule for briefing and the submission of testimony and set this matter for hearing on October 8, 2024; and WHEREAS, on October 8, 2024, the parties submitted a Settlement Agreement and requested that this matter be tabled to the next meeting to permit implementation of the Settlement Agreement; and WHERAS, on November 6, 2024, both parties confirmed that the Settlement Agreement has been implemented and continues to be fully implemented;
