Action Taken by the Executive Committee, Ratified by the Board of Trustees 
 
At its meeting of December 13, 2012, The Executive Committee of the Board of 
Trustees, based on  Article VI, Section 1 (a) of the Bylaws of the University of the Virgin 
Islands which states in part, “The Executive Committee may act for the Board between 
Board meetings, in the event of emergencies requiring Board action;” and that section of 
the Bylaws further states, “The Executive Committee shall report to the Board at its next 
meeting on all actions taken by it, and the Board shall ratify or revoke such actions. 
The Executive Committee unanimously authorized the President to execute the Solar 
Energy Agreement and the Power Purchase Agreement. 
 
At the March 9, 2013 Board of Trustees Meeting, the Board unanimously ratified the 
action of the Board.
